REAL ESTATE: Our real estate group participates in all aspects of commercial, residential and transaction-oriented real estate matters, including sales, acquisitions, leasing, development, construction, financing and joint ventures. We represent owners, developers, landlords, tenants, managing agents, cooperative boards and corporations, in all aspects of commercial, office, shopping center, retail, industrial and single and multi-family residential real estate matters. Our attorneys regularly represent specialized organizations, such as religious, not-for-profit and franchising entities in connection with their real estate transactions. We have extensive experience in negotiating and closing loans in connection with commercial and residential real estate mortgage financing, including construction lending, securitized loans and loan participation arrangements. We also have extensive experience in commercial lease transactions, including preparing and negotiating sophisticated ground leases, build-to-suit leases, office and professional suite leases, retail and industrial premises leases. We provide counsel in landlord/tenant matters, condominium and cooperative matters, including general business advice, negotiation and preparation of contract claims, dispute resolution, arbitration, financing, mechanic’s liens and construction litigation. We frequently interact with our estate planning and administration departments regarding succession planning for real estate holdings and the administration thereof. Our residential real estate professionals take pride in their hands-on approach to representing our clients who are purchasing, selling or financing their most important investment. We guide our clients through each step of the process of home ownership, whether the home is a single family residence, cooperative or condominium, retirement community or multi-family building. BUSINESS: We provide day-to-day counseling and advice for a variety of business owners, including corporations, individuals, partnerships, limited liability companies and health care providers and professional organizations. We render advice in connection with business organization and structure, including choice of entity considerations and agreements among equity owners. Our clients include physicians, attorneys, accountants, insurance and other professionals, religious institutions, not-for-profit organizations, franchisors, franchisees, retailers, manufacturers and state licensed entities. We have extensive experience in negotiated stock and asset based mergers, acquisitions and dispositions, and represent both buyers and sellers of various types of companies, including the negotiation and closing of secured financing in connection with such transactions. Our services also include the purchase and sale of businesses, preparation of shareholder buy-sell and redemption agreements, general and limited partnership agreements, operating agreements for limited liability companies, and employment, compensation, consulting and non-competition agreements. We regularly advise clients on corporate governance matters, dispute resolution and succession planning. We work closely with our estate planning department to assure that business owners have estate plans which include all aspects of their business ventures.
